HomeMy WebLinkAboutHousing Cooperation AgreementHOUSING COOPERATION AGREEMENT THIS H USING COOPERATION AGREEMENT ("Agreement") is entered into this I ~ day of 10 by and between the HOUSING AUTHORITY OF THE COUNTY OF CLALLAM ("H "), a Washington housing authority, and the CITY OF PORT TOWNSEND, (the "City") a Washington Municipality. The parties agree as follows: I. RECITALS: a. The Housing Authority of the County of Clallam is a housing authority organized and operating under the Housing Authorities Law of the State of Washington, Chapter 35.82 RCW. b. HACC recently took over the management of the Jefferson County Section 8 Housing Choice Voucher Program, providing rental assistance for Jefferson County residents through the Department of Housing and Urban Development ("HUD"). HACC desires to continue to provide rental assistance to the citizens of Port Townsend, W ashington. c. HACC provides approximately $650,000 a year in rental assistance to the citizens of Port Townsend and Jefferson County. d. Chapter 35.83 RCW (the "Housing Cooperation Law") authorizes municipalities to cause services to be provided, with or without consideration, to any housing authority operating within its boundaries as the municipality derives immediate benefits and advantages from such an authority. e. HACC has insufficient resources to undertake and administer certain housing programs within the City of Port Townsend without the support of the City. The parties have further determined that it is in the best interests of the City of Port Townsend, the HACC and the public for the City of Port Townsend to provide the HACC with temporary office space and related services at no expense to the HACC. II. CITY OF PORT TOWNSEND'S RESPONSIBILITIES: a. The City shall provide HACC, at a minimum, with an office on the bottom floor of the Kuhn building located at 5210 Kuhn, Port Townsend, Washington for HACC rental assistance staff. The City shall also allow the HACC use of the common areas of the kitchen and various storage areas. The City will also allow the HACC to make reasonable use the existing phone system and the copy machine located at the Kuhn site. The City's responsibilities shall be met at no expense to the HACC. III. HACC RESPONSIBILITIES: a. The HACC will, at its own expense, pay for any alterations or modifications to the office space and will also pay for one half of the maintenance contract of the copy machine. The HACC will install its own phone lines and assume the cost of programming for the existing phone system. b. HACC will provide technical assistance to the City on housing issues. IV. TERM OF AGREEMENT: a. This agreement will be for an initial term of three years and will be automatically renewed on a yeaz-by-year basis at the end of the initial period if mutually agreed to by both parties or if neither party objects by the end of the initial and succeeding periods. b. The City may terminate this agreement at the end of the initial or succeeding periods upon 90 days written notice prior to the end of the initial or succeeding periods. V. TERMINATION: In addition, this Agreement may be terminated in whole or in part:: a. By mutual consent of the parties, in which case the parties shall determine by mutual agreement the conditions of termination, including the effective date and in case of partial termination, the portion of agreement to be terminated; b. On thirty (30) days notice, by either party for convenience or if the funds allocated by the party for this Agreement are from anticipated or general sources of revenue, and if the anticipated or general sources of revenue do not become available for use in purchasing said services; a On t<.irty {3C) days r~etice, by eitl~,er party if the other party fails fc> perform any of the provisions, terms, or conditions herein, so long as written notice is communicated to the party, and the matter is not corrected within thirty (30) days. V. INDEMNIFICATION AND HOLD HARMLESS. Each parry shall indemnify, defend and hold harmless the other parties, their officers, agents, employees, and volunteers, from and against any and all claims, demands, damages, judgments, losses, liability and expense (including, attorney's fees), including but not limited to those for personal injury, death or property damage suffered or incurred by any person, by reason of or in the course of performing this Agreement which is or alleged to be caused by or may directly or indirectly arise out of any act or omission of the party, its officers, employees, agents and volunteers. In the event more than one party is responsible or negligent, each party shall be responsible in proportion to its negligence.
