HomeMy WebLinkAboutFire Services Joint Operation/Maintenance Interlocal Agreement INTERLOCAL AGREEMENT FOR JOINT OPERATION AND MANAGEMENT OF FIRE SERVICES City of Port Townsend, and Jefferson County Fire District I (January 1, 2007) This Interlocal Agreement is entered into by and between the CITY OF PORT TOWNSEND, a non-charter optional code city of the State of Washington ("City"), and JEFFERSON COUNTY FIRE DISTRICT 1, doing business as East Jefferson Fire Rescue, ("District"), pursuant to the authority granted in RCW 52.12.031, 35A.11.040, and chapter 39.34. Recitals A. Chapter 39.34 RCW permits local governmental units to make official use of their powers enabling them to cooperate with other localities on the basis of mutual advantage; and B. The parties currently operate a joint fire service operation pursuant to an Interlocal Agreement effective January 1, 2006. The parties desire to enter into this agreement for joint operations and management, on the terms set forth in this Agreement. A joint operation can provide efficiencies and cost-savings by minimizing duplication of employees and resources and provide for consistency in training and operations. During the term of this Agreement, the parties will work together to determine if further consolidation serves the interests of the City, and District and their citizens. Addifional consolidation may allow the parties to provide fire service in a more efficient, effective, and less costly manner for citizens within both the City and District. C. The City determines, and District agrees, that it is in the best interests of the City and its citizens, and District and its citizens, to work together to further achieve efficiencies and benefits from joint operations. D. This Agreement modifies and supersedes the prior Agreement between the City of Port Townsend, and Jefferson County Fire Protection District No. 1 effective January 1, 2006. 1 Joint Operation & Management of Fire Services January 1, 2007 Interlocal Agreement A~eement In wnsideration of the benefits that each of the parties anticipates from a joint operation and management of fire services as set forth in this Agreement, the City and District hereby agree as follows: 1. Purpose. The purpose of this agreement is to establish a joint operation and management agreement for the City and District fire services. During the term of this agreement, Jefferson County Fire Protection District No. 1 will, according to the terms of this Agreement, provide service to the azea comprising the City and District under a unified command and organizational structure. The City will pay the District the sums specified in this agreement for the services and will retain oversight over the District's operations through a Joint Oversight Board. Further, during the term of this agreement, the City and District will review, as provided in this Agreement, whether additional consolidation measures will benefit the citizens of the City and District. As provided in this Agreement, the City and District aze not committing to additional consolidation measures at this time, and any such future decisions must be approved by the City Council and District Boazd of Commissioners. 2. District Responsibility. The District shall provide all fire protection and emergency medical services to the District and the City. These services shall include but not be limited to: 2.1. Respond to all fire and emergency medical alarms and other requests for Fire-Rescue Services through the 9-1-1 public safety answering point within the City and District. 2.2. Provide Fire Code Official Services to the City in accordance with requirements of the Revised Code of Washington and the most currently City adopted International Fire and Building Codes 2.3. Maintain a level of service for the City and District provided in Paragraph 8 of this Agreement. 2.4. House, insure for replacement value, and provide regular upkeep and maintenance for all equipment in the care and custody of the District, including equipment transferred to the District by the City. 2 Joint Operation & Management ojFire Services January 1, 2007 Interlocal Agreement 2.5. Provide regulaz upkeep and maintenance for all stations facilities owned or leased by the District. 2.6. Fund for the replacement of vehicles and equipment in accordance with an approved capital improvements plan. 2.7. Provide and maintain property and liability insurance coverage for all operations, facilifies, equipment, and personnel, including liability, at not less that the amount and coverage's as existing on the date of this Agreement; provided, general liability insurance shall have a minimum policy limit of $2,000,000 per occurrence, and auto insurance, including comprehensive and collision- wverage at replacement cost and liability coverage with a minimum policy limit of $2,000,000 per occurrence. 2.8. Provide all staffing necessary to provide the above services. 3. Authority and Responsibility of the Fire Chief. Subject to the terms of this Agreement, the Fire Chief shall have management authority over the joint operation, including but not limited to the following: 3.1. Day-to-day operations. 3.2. Employee responsibilities. 3.3. Staffmg. 3.4. Station apparatus assignment. 3.5. Allocation of resources. 3.6. Personnel management including discipline. All disciplinary actions involving any loss of pay, suspension or termination shall be recommended by the Chief but fmal action on such recommendations shall be reserved to the District Boazd of Commissioners. 3.7. hnplementation of the District Budget, subject to this agreement and District's expenditure guidelines. 3.8. Implementation of policies and procedures. 3.9. The Fire Chief shall attend the meefings of the Board of Commissioners, Joint Oversight Boazd, City Department Head and Staff meetings and meetings of the City Council 3 Joint Operation & Management oJFire Services January 1, 1007 . ,~= Interlocal Agreement Public Safety Committee (or successor committee), and keep the Boards fully and timely informed of decisions affecting the level of service of District and City service areas. The Fire Chief shall be under the direction and authority of the Board of Commissioners of District to insure that an adequate level of protection is provided within the service areas of the City and District. 4. Transfer of City Personnel. 4.1. All paid City fire department employees shall become employees of the District. The District shall be the employer of all personnel required to perform the services provided in this Agreement. The parties agree that IF Loca12032 and the Fire District Board shall employ City fire department employees with the terms of the most recent Collective Bargaining Agreement as ratified. The District shall pay all wages, salaries, employee benefits, payroll taxes and any other expenses associated with the paid personnel. Upon transfer, the City shall have no further obligations with respect to such employees (except as to salaries, wages and benefits accrued but not yet paid). It is further agreed that future medical benefits required by statute to be provided to LEOFF II personnel and the District shall fund me whose employment is transferred from the City to the District. The District shall not be responsible for any LEOFF liabilities for City employees that do not become employees of the District. 4.2. Vacation, compensatory, and sick leave balances accrued by employees while in the service of the City and outstanding as of the date said employees are transferred to the District shall automatically transfer to the District with each transferred employee. Any vacation, compensatory, or sick leave authorized thereafter by any such transferred employee shall count against and reduce the employee's transferred vacation, compensatory, and sick leave balances. If an employee's employment relationship terminates after transfer of that employee to the District, the District shall cash out any unused vacation time, compensatory time, and/or sick leave balance according to the terms that applied to the employee under the employee's employment relationship with the City as of the effective date of annexation. 4 Joint Operateon & Management of Fire Services January 1, 2007 ` ~ Interlocal Agreement 5. Transfer of Property and Property Ownership. 5.1. The City shall transfer to the District the equipment listed in Exhibit A, and the same shall belong to the District, subject to the terms of this Agreement. 5.2. Any vehicle apparatus transferred to the District, may only be transferred or surplused upon approval of the Joint Board. 5.3. If a vehicle is replaced and the salvage (trade in) value of a vehicle owed by the City as of the date of this Agreement is applied to the purchase price, the City retains that percentage interest in the new vehicle (percentage based on salvage value to purchase price of new vehicle). If a vehicle owned by the City as of the date of this Agreement is surplused (and its value not applied to the purchase of a new vehicle), then any salvage value is paid to the City, or the vehicle is returned to the City. If the City contributes additional money (separate from the revenues in pazagraph 11) toward the purchase of a new vehicle, then the City retains a percentage interest in the new vehicle (percentage based on City money to purchase price of new vehicle). 5.4. Vehicles cannot be surplused or replaced except on approval of the Joint Boazd. 5.5. Upon termination of the Agreement, all property transferred by the City to the District shall (to the extent it is still owned by the District) be returned to the City. If the District replaces equipment using District funds (sepazate from the revenues in pazagraph 11), then such replacement equipment shall remain the property of the District. If the City replaces equipment using City funds (sepazate from the revenues in paragraph 11), then such equipment shall remain the property of the City. If property is jointly purchased by the City and the District (with the revenues in pazagraph 11), the Joint Board shall make a recommendation on disposition, and it shall be disposed of on an equitable basis and in such manner as may be agreed upon between the City and the District in the event of termination of this Agreement. 5 Jornt Operation & Management of Fire Services January 1, 2007 Intertocal Agreement 6. Emergencies. 6.1. It is the intent of the parties that the District, from the budget approved pursuant to this Agreement, and District reserves, fund the regulaz upkeep, repair and maintenance and replacement of stations and equipment, including vehicle appazatus. In the event the District Boazd determines an emergency has occurred resulting in expense(s) that the District cannot meet from the budget approved pursuant to this Ageement, or District reserves, and it is necessary for the District, in order to meet its expenses (both emergency and non-emergency), to issue interest bearing wazrants or obtain other debt financing, then the District shall so inform the Joint Boazd and the following shall occur: the Joint Board shall prepaze a report and recommendation to be submitted to the legislative body of each of the parties for review. The pazties agree to review any recommendation of the Joint Board, and if necessazy to consider, in order to fund emergency expenses, approving the issuance and sale of general obligation bonds, submitting to the respective voters of the City and District for their approval a tax levy, or other options presented by the Joint Boazd. 6.2. In the event the legislative bodies agree it is necessary to obtain voter approval to incur indebtedness or levy excess taxes, the parties agree to cooperate to jointly submit such requests to the voters of the District and City. Unless the parties agree otherwise, the District and City shall each share the 50% of the cost. In the event any such ballot measure shall be approved in one jurisdiction but not in the other, the jurisdiction in which it failed shall submit the measure at another election during the same calendaz year is an election date is available. If the measure shall fail the second time, the jurisdiction submitting the measure may consider funding the emergency expenses through any other source of funding that maybe available. All funds received as a result of special levies, sale of bonds, or the like for the benefit of the joint operation shall be paid to the account of the District for the emergency expenses according to the terms of the bond. 7. Lease of Fire Hall. As part of this Agreement, the parties have sepazately executed a lease of the Fire Hall to the District. 6 Joint Operation & Managemerst of Fire Services Tanuary 1, 2007 Interlocal Agreement 8. Level of Service. Fire prevention, fire suppression, emergency medical, technical rescue and hazazdous materials incident response shall be provided at the same level to each of the parties under the terms of this agreement, and shall be substantially equivalent or better than the level of service existing as of the date of the Agreement. For example, at the date of this Agreement, a fire ladder truck capable of fighting a multi-story structure fire is located at the City fire hall. That level of service or better would continue under this Agreement. In the event of simultaneous emergencies within the City and District whereby the resources of the joint operation are taxed beyond its ability to render equal protection, the Fire Chief or the Fire Chiefs designee shall determine how to allocate the resources of the joint operation. The District agrees to provide the listed services in such manner as necessary to maintain an LS.O. protecfion class rating of 5 for the City. 9. Joint Oversight Board. 9.1. Established. Asix -person Joint Oversight Board, hereinafter referred to as the "Joint Board," is established. District Board of Commissioners shall fill three positions. Three individual members of the City Council shall be appointed by the Mayor of the City of Port Townsend and confirmed by the City Council to fill the remaining three positions. 9.2. Responsibility. In addition to responsibilities identified elsewhere in this agreement, the Joint Oversight Board shall be responsible for overseeing the operafions of the fire service and management of all properties, reviewing operations and levels of service issues, recommending policy and procedures to the Fire Chief and approving operational and administrative policy, excluding personnel policies and procedures which shall remain the sole responsibility of the District Boazd of Commissioners. The Joint Board shall review recommendations originating from the District Board of Commissioners or the Port Townsend City Council. The Joint Boazd shall not have the authority to modify or revise the terms of this Agreement, nor shall the Joint Boazd have authority to incur liabilifies or obligations on behalf of any party to this Agreement. The District Boazd shall have exclusive authority over personnel matters, but shall consult with the Joint Board and keep the Joint Board apprised of personnel matters, including the annual performance evaluations of the Fire Chief. 7 Joint Operation & Management of Fire Services January !, 2007 Interlocal Agreement 9.3. Meetings. Actions. and Ouorum of the Joint Board All meetings of the Joint Boazd shall be held in accordance with the Open Public Meetings Act, RCW 42.30. The Joint Board shall meet not less than once a month as determined by the Joint Board. The regular meeting of the Joint Boazd shall be as determined by the Joint Board. Joint Boazd meetings maybe held consecutively with the Fire District Commissioner's meetings. A quonun of the Board shall consist of two representatives from each agency. Actions of the Joint Boazd shall require the affirmative vote of not less than four (4) members of the Board, two from the City and two from District. The Boazd Secretary of District shall act as secretazy for the Joint Boazd who shall take minutes of the Joint Boazd meetings and other proceedings. 10. Bndget. 10.1.The Fire Chief shall prepaze and present a budget for operations of the Fire District based on the projected revenues determined in accordance with Pazagraph 11 (Revenues for Fire District Operation and Capital Funds) and present that budget to the Joint Board for approval. The proposed budget shall be in accordance with the Budget Accounting and Reporting System (BARS) established by the Washington State Auditors Office. The Joint Board will review and recommend to the District Board approval of the budget, which shall be the operating budget of the Fire District, prior to the statutory deadline imposed by RCW 84.52.020 and the Jefferson County Treasurers Office. 10.2.In the event of an item not being included in the budget, for example a major purchase of a vehicle, the Fire Chief shall submit a request outlining the purpose for Joint Boazd approval, and if concurred in by the Joint Board, the Boazd will recommend approval to the parties' legislative bodies. 11. Revenues for Fire District Operating and Capital Funds. 11.1.District will use its collected Fire and EMS levies, timber tax, ambulance service accounts receivable receipts and all wntracts for fire or EMS services. The District agrees it will not lower its regular or emergency medical services regular real property tax levy without the consent of the Joint Boazd. 8 Joint Operation & Management of Fire Services January 1, 2007 Interlocal Agreement 1 L2.The City will pay to the District all of the collected EMS tax, contract income for fire or EMS services, fire and EMS service fees, and general fund supplement in accordance with the following formula: 11.2.1. The beginning general fund revenue paid to the District by the City for 2006 was $780,000. Subsequent annual transfer of general fund revenue shall be the amount transferred in the previous calendar year plus 1% of that amount, plus 50% of taxes received from new construction, provided, that the 1 % increase only applies if both the City and District vote to increase their respective general tax levy by 1% over the previous yeaz. For example, in 2007, the City's base contribution would be $780,000, plus 1% ($7,800), plus (hypothetically) $25,000, assuming that the taxes received by the City from new construction are $50,000. The 50% is based on the following calculation, and remains constant for the term of the Agreement: $780,000 divided by $1,555,223 (which represents the general fund tax levy after deduction for the fireman's pension fund) equals 50%. 11.3.The City agrees it will not lower its emergency medical services regulaz real property tax levy without the consent of the Joint Board. 11.4.If at any time during the term of this agreement the District or City pursues a Fire or EMS levy lid lift or other adjustment the formula for general fund supplement shall be renegotiated. 11.S.Transfer of all funds as provided in this agreement shall be paid to the District from the City within 15 days of actual receipt for fire and EMS service fees, contract income and EMS taxes. In addition, the City shall pay to the District50% of its general tax receipts within 15 days of when they aze received by the City from the County Treasurer until the City's annual general fund supplement contribution is complete. However, if the full annual general fund payment has not been made by December 1~ of a calendar yeaz, the City shall pay the balance of its general annual fund payment on or before that date 11.6.A11 outstanding accounts receivable for City Ambulance Transport fees collected by the City after the initiation of this agreement will be transferred to the Joint Operating Fund. 9 Joint Operation & Management of Fire Services January 1, 2007 Interlocal Agreement In the event the parties terminate this Agreement, and there is no annexation of the City into the District, then the outstanding accounts receivable for ambulance transport at the date of termination shall be equitably apportioned between the City and District. 12. Liability. 12.1.Each of the parties shall be responsible for the wrongful or negligent actions of its employees while assigned to the joint operation as their respective liability shall apply under the laws of the State of Washington and/or Federal law and this Agreement is not intended to diminish or expand such liability, except as otherwise provided in this Agreement. 12.2.To that end each of the parties to this Agreement promises to hold harmless and release the other from any loss, claim or liability arising from or out of the negligent, tortious action(s) or inactions) of its employees, officers and officials. Such liability shall be apportioned among the parties or other at fault persons or entities in accordance with the laws of the State of Washington. Nothing herein shall be interpreted to: 12.2.1. Waive any defense arising out of RCW Title 41. 12.2.2. Limit the ability of a parry to exercise any right, defense, or remedy which a party may have with respect to third parties or other employees whose action(s) or inaction give rises to loss, claim or liability including but not limited to an assertion that the employee(s) was acting beyond the scope of his or her employment. 12.2.3. Cover or require indemnification or payment of any judgment against any individuals or party for intentionally wrongful conduct outside the scope of employment of any individual or party. Payment of punitive damage awards, fines or sanctions shall be the sole responsibility of the individual against whom said judgment is rendered and/or his or her municipal employer, should that employer elect to make said payments voluntarily. This Agreement does not require .indemnification ofany punitive damage awards or for any order imposing fines or sancfions. 10 Joint Operation & Management ofFtre Services January 1, 2007 Interlocal Agreement 13. Insurance. District shall provide and maintain property and liability insurance coverage for operations, facilities, equipment, and personnel of its fire service as set forth in 2.7, and for the fire hall, as provided in the parties' Lease Agreement for Fire Hall. 14. Benefits. This agreement is entered into for the benefit of the parties to this agreement only and shall confer no benefits, direct or implied, on any third persons. 15. Protection of City-Owned Prouerty. In consideration of the mutual benefits of this Agreement, and at no cost beyond the consideration provided this Agreement, the District agrees to provide fire suppression services for City-owned structures, buildings and real property. 16. Term This Agreement shall be effective on Januazy 1, 2007 and continue for a period of twenty (20) yeazs, and shall expire on December 31, 2027. Thereafter, unless terminated, this Agreement shall continue for successive five-yeaz renewals on the same terms of this Agreement. Provided, on or before January 1, 2024, either party may terminate this Agreement on January 1, 2027, by giving at least three (3) years written notice of termination for the Agreement to terminate on January 1, 2027, and after January 1, 2027, either party may terminate this Agreement by giving at least three (3) yeazs written notice of termination for the Lease Agreement to terminate on the January 1 which is more than three years from the notice. The three-yeaz period is established to provide adequate time for each party to discontinue the joint operation and for each parry to re-establish its own fire department outside this Agreement 17. Administration Of Contract. The administration of the provisions of this Agreement shall be undertaken by the City and District, as provided herein. 18. Equipment Location. The Chief shall advise the Joint Boazd of the permanent assignment and location of all of the equipment and shall further advise the Boazd of any changes in such assignments prior to the time that a permanent change shall become effective. 19. Dispute Resolution. Any controversy, which shall arise between the parties regarding the rights, duties or liabilities under this Agreement of either party, including tie votes of the Joint Oversight Board, shall be settled by mediation. In the event the parties cannot agree on 11 Joint Operation & Management afFire Services January 1, 2007 Interlocal Agreement a mediator the parties agree to submit the dispute to the American Arbitration Association for selection of a neutral mediator. In the event the dispute cannot be resolved in mediation, any disputes, shall be submitted to binding azbitration. Such azbitration shall be before one disinterested arbitrator if one can be agreed upon, otherwise before three disinterested azbitrators, one named by each party and one by the two thus chosen. The azbittator or .arbitrators shall determine the controversy in accordance with the laws of the State of Washington as applied to the facts found by the arbitrator or azbitrators. Each party shall beaz its own costs and attorney fees and shall shaze equally in the costs of the mediator or arbitrators. In the event of dispute over budget or budget expenditure, the arbitrator shall have no authority to bind the City or District to a budget or budget expenditure. The arbitrator or arbitrators shall have no authority to add or subtract from or modify any terms of this Agreement, and shall have no authority to incur liabilities or obligations on behalf of any party to this Agreement. 20. General. 20.1.Notices. All notices, requests, demands and other communications required by this agreement shall be in writing and, except as expressly provided elsewhere in this agreement, shall be deemed to have been given at the time of delivery if personally delivered or at the time of mailing if mailed by first class, postage prepaid and addressed to the party at its address as stated in this agreement or at such address as any party may designate at any time in writing. All official notice to District shall be addressed to the Boazd Chairman. All official notice to the City shall be addressed to the City Manager. 20.2.Severability. If any provision of this Agreement or its application is held invalid, the remainder of the agreement or the application of the remainder of the agreement shall not be affected. 20.3.Modification. This agreement represents the entire agreement between the parties. No change, termination or attempted waiver of any of the provisions of this Agreement shall be binding on either of the parties unless executed in writing by authorized representatives of each of the parties. The Agreement shall not be modified, supplemented or otherwise affected by the course of dealing between the parties. 12 Joint Operation & Management of Fire Services Jarsuary 1.1007 Interlocal Agreement 21. Effective Date. This Agreement shall become effective on January 1, 2007, or upon the execution hereof by both of the parties hereto, whichever is last to occur.
