Crown-Zellerbach Proposal
The proposal of Crown-Zellerbach Corp. relative to replacement of certain portions of
the main water supply line nor: under lease to said corporation was presented at this time
to the City Clark and thereupon read in full as follows:

Gentlemen:
This letter has reference to the replacements now required by reason of deter-
ioration of portions of the pipe line of the viater system now under lease to us.
71'e understand that, for the purpose of having these replacements made without your
having to directly finance the same, you are willing to lease the system for a
period of years commencing with the expiration of the present lease under provisions
whereby the lessee v%ill undertake to advance funds for (1) the replacements now
necessary and (2) certain further replacements which may hereafter become necessary,
the lessee to be permitted to credit all amounts so advanced against the rentals
under such lease.
Subject to the working out of all legal details to the satisfaction of your
attorneys and ours, we are prepared to and will bid for the rental of the system to
us at an annual rental of not less than $15,000, term of the proposed lease to be
ten (10) years commencing with the expiration of the existing lease, the other .
applicable provisions to be substantially as in the present lease but with further
appropriate provisions in substance as follows:
1. Lessee would be given the right to pay rentals in advance at any time.
2. Immediately upon the lease becoming effective the City would proceed with
the replacements now required, namely, to replace the portions of the pipe line
described in Schedule A attached with pipe of n character and construction equal
to or better than that, when new, of the pipe being replaced, all under the direction
of an engineer employed by the City for the purpose, the cost of such replacements
to be paid by the lessee and credited against the rentals provided under said lease
last falling due. (For example, if the cost of the replacements should be p70,000
and the annual rental .a15,000, then the entire rental with respect to the last four
years and $10,000 of the rental due with respect to the sixth y3ar of the lease
would be deemed to have been paid in advance.)
3. If at any time hereafter during the term of either the present lease or
the new, lease it should become necessary, by reason of detorioration (the necessity
for such replacement to be determined by joint agreement of lessee's engineer and
any engineer employed by the City), to replace all or any part of the portions of
the pipe line described in Schedule B attached, then the City would forthwith pro-
ceed with such replacement frith pipe of a character and construction equal to or
better than that, ahen new, of the pipe being replaced, all under the direction of
an engineer employed by the City for the purpose, the cost of such replacement to
be paid by the lessee and credited against the rentals provided under said lease
last falling due and not absorbed by the cost of replacements referred to under 2
above.
4. Lessee to be permitted to bid on any contract for replacement, if' it so
desires.
Due to the necessity for immediate replacement of the portion of the line re-
ferred to under P above, it is understood that the leasing of the property will be
expedited by you in every way possible, including the calling of a special election
to approve the ordinance accepting the bid and directing the execution of such lease,
