The City Council of the City of Port Townsend, Washington, met in regular session this 7th day of July, 1931, at 8 P.M. in the Council Chambers of the City Hall. Mayor George Bangerter presiding. ROLL CALL Upon roll call there were present Mayor George Bangerter, City Attorney Jae. W. B. Scott, City Clerk C. F. Christian and Councilmen William Leamora, Sr., Jacob Miller, E. M. Starrett and W. B. Smith. MINUTES APPROVED The minutes of the regular session of June 16th were read and approved as read. It was moved by Councilman Lammers and seconded by Councilman Smith that the said olaima ba approv- ed and that the Mayor and the City Clerk be authorized to draw warrants upon the proper funds in payment of same. upon roll call all four Councilman present voted in the affirmative and motion was declared carried. REPORTS OF OFFICERS City Attorney on Bond issues City Attorney Jae. W. B. Scott presented a written report which was read, as follows: Port Townsend, Washington, July 7th, 1931 To the Honorable Mayor and City Council of the City of Port Tovmsond, Washington. Gentlemen:- Re: Refunding $49,000 City Bonds. Permit me to advice you of work done by me, an city attorney, in helping to carry through the matter of refunding of the above mentioned bonds. Some time before the publication of notice of sale, I made a trip to Olympia, to consult the attorney general. Had a conference with a member of his staff, who specializes on such matters. We went over the matter in detail, and he orallyyadvised that he did not think that the attorney general would give approval to the state purchasing such bonds, if a.bid was submitted by it, and accepted by the city. During the forepart of June, I made a trip to Seattle, to consult with the Seattle Trust Company, and suggested that it put in a bid. Mr. Winslow, the manager of the company, was much impressed, stating that he would do the best he could, rather then see any municipal bonds of the state go in default. On Juno 17th, an agent of the Trust Company, called on me in Port Townsend, when we went over the matter and the prospect of the company submitting a bid for the bonds. He had a proposition, but the attor- neys for the company disapproved it. The State treasurer submitted a bid, and on Monday, June 22nd, I mado a trip to Olympia, to con- sult with the secretary of the state finance board and state treasurer. I suggested that in case the bid was awarded to the state, the money could be placed in escrow with the fiscal agency of the State of Washing- ton, at New York City, and the city also place the contemplated issue of bonds with same party, and the fis- calnagenoy to pay off the outstanding bonds and deliver the now refunding bonds to the state. Was advised that under a ruling of the attorney general no state officer had any legal authority to enter into any escrow agreement on the part of the state. Two issue bonds, in any event, for the same debt, would not moot with the approval of .the attorney general. On Tuesday, June 23rd, I made a trip to Seattle, to confer with Mr. Winslow, about the possibility of the oompany submitting a bid. He made this proposition to be placed before the mayor and city councils that if the city at its own costa, employ Preston, Thorgimson and Turner, attorneys of the company, and in case such attorneys approved the legality of the issue of the bonds here in question, and such opinion was received before July lots. thecoompany would submit a bid. Was orally advised that the tentative bid for such bonds would be par and interest at the rate of 5-1/2, the company's attorneys to prepare all necessary reso- lutions and ordinances and print the bonds without coat to the city. I oonsulted with the attorneys as to what their fee would be, and was advised that it would be from $250.00 to $300.00, not over $300.00 in any event. On Wednesday, June 24th, I orally submitted the trust companyta proposition, including the attor- neys charges, to the mayor. The City Clerk informs me that the state treasurer withdrew his bid, as in no instance would the state auditor issue any warrant unless the bonds had been delivered to the proper officer of the state. On July 2nd,if I am correct, I called up Mr. Winslow on telephone, and advised him that the Mayor and city council had taken no action on his proposition. I suggested to him that he might submit a bid, including in it the terms of his proposition submitted. He replied as matter now stood, he did not care to do anything further in the matter, and did not contemplate submitting any bid for such bonds. ' I dictated for the city treasurer two telegrams in reply to telegrams received from the National iCity Bank of New York City, the fiscal agency of the State of Washington, and the Woodman of the World, Denver, Colorado. Both parties:: by their telegrams made inquiry what provision had been made by the city to pay such bonds, due July let., 1931. Mr. Soott,advised the Council that he had made two tripe to Olympia by courtesy of a citizen of the City, for which there will be no charge. Said report was ordered filed.
