RESOLUTION OF THE CITY COUNCIl. OF THE CITY OF PORT
TOWNSEND AUTHORIZING THE MAYOR TO COMMENCE
NEGOTIATION FOR PARTICIPATION IN THE FUNDING AND
PURCHASE OF THE THOMAS OIL SITE
The City Council of the City of Port Townsend, Washington, in regular session does
resolve as follows:
WHEREAS, the City adopted the Urban Waterfront Plan (UWP) in December 1990,
after six months of extensive community debate and numerous public meetings; and
WHEREAS, the UWP recommended goals, policies and regulations intended to guide
future private development and civic revitalization projects along the urban waterfront in the
city; and
WHEREAS, the UWP states that "the acquisition of the Thomas Oil site has been
determined to be essential to the future character of the Urban Waterfront;' and
WHEREAS, the UWP describes several uses, such as a marine-oriented park or marine-
oriented educational and maritime center, which would enhance community character and keep
the site compatible with neighboring uses; and
WHEREAS, the acquisition of the Thomas Oil site is identified in the City's 1995
Capital Improvement Program (CIP); and
WHEREAS, the Port of Port Townsend (the "Port") has made an offer to purchase the
Thomas Oil Property, located on Water Street, in Port Townsend; and
WHEREAS, the Port's Offer is contingent upon the Port and the City entering into an
Interlocal Agreement and upon the City agreeing to join in the Property purchase as a partial
assignee of the Purchase and Sale Agreement; and
WHEREAS, at the April 17, 1995 City Council meeting, members of the public
provided testimony overwhelmingly in support of the public acquisition of the Thomas Oil
property; and
WttEREAS, the City Council desires to initiate negotiation with the Port to participate
as a purchaser of the Property and to begin negotiation for an Interlocal Agreement governing
acquisition and Property use issues,
NOW, THEREFORE, BE IT RESOLVED, by the City Council for the City of Port
Townsend as follows:
1. The City shall join the Port in its efforts to acquire the Thomas Oil property for
public use, subject to the terms of an Interlocal Agreement between the City and the Port; and
2. The Mayor shall address a letter to the Port Commissioners stating the City's
desire to join in the Property purchase and agreeing to a partial assignment of interests in the
Port's draft Purchase and Sale Agreement, tendered on April 14, 1995, subject to the terms of
an Interlocal Agreement; and
3. The Council authorizes the Mayor to offer to join in the Purchase with the Port
and to offer one-half of the Purchase Price ($1.3 million), stated in the draft Purchase and Sale
Agreement, tendered on April 14, 1995 subject to the terms and conditions stated in that
Agreement and subject to evolving terms of a negotiated offer, as approved by the Council; and
4. The City shall commence negotiation with the Port for an Interlocal Agreement
defining the rights and obligations of the City and the Port in the Property acquisition as well
as long-term Property development and management concerns.
