HomeMy WebLinkAboutThe Blind Store by McCrorieCITY OF PORT TOWNSEND LIMITED SMALL WORKS CONTRACT THIS, AGREEMENTis made and entered into as of the date last silnied below, by and between the City of Port Townsend, a Washington municipal corporation and The Blind Store by McCrorie, a Washington (br profit corporation ( "C i1ractor" 01 L Contract Scope of Work; Contract Documents. The Contractor shall do all work and furnish all tools, materials, and equipment for the scope of work described as in Aaachinent A. All work shall be done in accordance with the plans and specifications for the work in existence on the date of this Contract. The contractor shall comply with the terms and conditions, including insurance and prevailing wage requirements, in the latest edition of Washington State Department of 1'ran,,;portation,S't(iiielerr ,,d,v Specl ficafion.sft)r Road, Bridge, and Municipal Construction incorporating the Division I APWA (American Public Works Association) supplement. (Reference to ",Engineer" in � pec#lcations7 means the (.' 'ity-deiignated representative, which may be the project manager, architect, or consulting engineer; references to "State" or "DOT" are replaced with "City.") 2. Contract Amount; Compensation. The City of Port Townsend agrees to pay the total Stan of $14,205.71 including tax. Payment shall be made in accordance with the ,pecijications, 3. Time for Completion. The Contractor shall achieve substantial completion by December 31, 2022. 4, Insurance.'rhe Contractor shall procure and maintain for the duration of the Contract insuranceagainst claims for injuries to persons or damage to property that inay arise from or in connection with the performance of the work hereunder by the Contractor, its agents, representatives, employees, or subcontractors. The Contractor shall provide a Certificate of Insurance evidencing: I . Anton LIja —bil ity insurance with limits no less than $ 1,000,000 combined — single limit per accident for bodily injury and property damage; and 2. tLonn!1-11-emial —Geneta-1—Li4-bi-J-i-ty insurance written on an occurrence basis with limits no less than $ 1,000,000 combined single limit per occurrence and $2,000,000 aggregate for personal injury, bodily injury, and property, damage, Coverage shall include but not be limited to: blanket contractual; products/competed operations; broad form property damage; and employer's liability. There shall be no exclusion for liability arising from explosion, collapse or underground property damage. 3. WoLker§"S�2ni2qn,44tLq.11 insurance at the limits established by the State of Washington, Any payment of deductible or self -insured retention shall be the sole responsibility of the Col'itractor, The City shall be named as an additional insured oil the insurance policy with respect to work perIbmied by or on behalf of the Contractor, using ISO Additional Insured endorsement CG 20 10 10 01 and Additional Insured -Completed Operations endorsement CC 20 37 10 Of or substitute endorsements providing at least as broad coverage, and a copy of the endorsement naming the City as additional insured shall be attached to the certificate of insurance. The Contractors insurance shall be primary insurance with respect to the City. The Contractor shall provide the City with written notice of any policy cancellation within two business days of their receipt of such notice. 5. Performance Bond and Payment Bond. Upon execution of this Contract, as required by Chapter 39.08 RCW, the Contractor shall furnish a surety bond in the full amount of the contract price, Plus State sales tax, which shall guarantee the faithful perforniance of the Contract and the payment of all labor, mechanics, subcontractors, and materialmen and all persons who supply thern with provisions and supplies for carrying out the work under this Contract. This bond shall be in force until completion of the project and acceptance by the City and also voll Such period thereafter during which the law allows liens to be filed and sued upon. This bond shall be, filmished by a corporate surety company authorized to do business in the State of Washington and acceptable to the City and on the form attached hereto. 6. 10% Retainage in Lieu of a Performance Bond and Payment Bond. Pursuant to RCW 39.08.010, in lieu of the bonds required under section 5 and at the option of the Contractor, the City tray retain tell (10%) percent of the Contract amount for a period of thirty (30) days after the date of final acceptance or until receipt of all necessary releases from the Department of Labor and Industries, the Department of Revenue, and the Employment Security Department and settlement of any liens filed under chapter 60.28 RCW, whichever is later, If choosing this option, the Contractor shall complete and submit to the City a Declaration of 10% Rctainagc Option in Lieu of Performance Bond and Payment Bond form. 7. Retained Percentage. Pursuant to Section 60.28.011 RCW, the City will hold in trust rJvC (5%) percent of the moneys earned by the Contractor pending completion of the work, final acceptance by the City, and approval of the "Affidavit of Wages Paid" by the Department of Labor and Industries, In lieu of retainage, the Contractor may instead post a bond that is subject to the same claims as the retained finds, as further set forth in Section 60.28.011 RCW. 2 8. Prevailing Wages. Pursuant to RCW Chapter 39.12.040, prior to payment by the City, the Contractor Inuit submit -- on behalf of itself and each and every subcontractor -- a "Statentent of Intent to Pay Prevailing Wages," which must be approved by the Department of Labor and Industries prior to its submission. Following the final acceptance of the project, the Contractor must submit -- on behalf of itself and each and every subcontractor -- an "Affidavit of Wages Paid" before the funds retained under sections 6 or 7 of this Contract are released to the Contractor. 9. Indemnity and Hold Harmless. 1 1 he Contractor shall defend, indemnif, and hold the City, its officers, officials, employees, wid volunteers harmless from any and all claims, injuries, damages, losses, or suits, including attorney fees, arising out of or in connection with the performance of this Contract except for injuries and damages caused by the sole negligence of the City. However, should a court of competent jurisdiction determine that this Contract is subject to RCW 4.24.115, then in the event of liability for damages arising out of'b'odily injury to persons or dainages to property caused by or resulting frorn the concurrent negligence of the Contractor and the City, its officers, officials, employees, and volunteers, the Conti -actor's liability hereunder shall be only to the extent, of the Contractor's negligence. It is flirther specifically and expressly understood that the indemnification provided herein constitutes the Contractor's waiver of immunity under Industrial Insurance, Titte 51 RCW, solely for the purposes of indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of this Contract. 10. City Business License Required. The Contractor must obtain a City of Port Townsend business license before any payment under this Contract can be made. 11. Bidder Responsibility Criteria. The Contractor agrees to comply with the requirements of the bidder responsibility criteria set forth in RCW 39.04.350 and RCW 39.06.020, li. prevailing "''pages.
