HomeMy WebLinkAbout03-014RESOLUTION NO. 03-014 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PORT TOWNSEND, WASHINGTON ENDORSING CONCEPTUAL TERMS OF A MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY AND JEFFERSON COUNTY HISTORICAL SOCIETY TO ACCOMPLISH THE CITY HALL RESTORATION/CITY HALL ANNEX WHEREAS, the City Hall/City Hall Annex project involves cooperation between the City and Jefferson County Historical Society ("JCHS") to accomplish the project; and WHEREAS, the JCHS endorses the City Hall and City Hall Annex plan presented by the City Manager at the May 5, 2003 Council meeting; and WHEREAS, city staff and representatives of the JCHS have reached agreement on certain conceptual terms affecting JCHS as it related to JCHS, NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Port Townsend: The City Council endorses the conceptual terms set forth in the attached "Conceptual Terms" and directs the City Manager to negotiate final terms with JCHS. Watts City Attorney 1 Resolution No. 03-014 CONCEPTUAL TERMS Parties agree to the following conceptual terms to be incorporated into a MOU between City and JCHS concerning City Hall restoration and City Hall Annex. Final terms are subject to respective approval by each party. Lease and City Hall Project: That current City-JCHS lease and the collaborative efforts between City and JCHS for renovation of City Hall are separate issues. Lease: Concerning current JCHS-City lease, time is of the essence. Stay with the current lease, for now, however, negotiate a new lease at completion of design and development of initial phase of City Hall restoration. New lease would correct space allocation and provide for reimbursement formula for O&M. o Fundraising: JCHS is no longer obligated for fundraising for the initial phase of City Hall restoration. Any supporting efforts by JCHS will help, but JCHS will not be obligated. Since all efforts to date have been paid for by the City, all grants previously arranged will be applied to improvements to City Hall. Any future efforts will be determined under additional agreements specific to later phases of City Hall restoration. We will prepare an assignment agreement for any future grants awarded that have previously been applied for. The EDI grant has been awarded to the City. The City does not wish to be involved in use of funds donated to JCHS, unless JCHS indicates donations are specific to future City Hall restoration. Timeframe: We will work together to develop a restoration timeframe. We will work with JCHS to develop a MOU addressing needs for Phases III & IV. JCHS Restoration: JCHS will be involved with all aspects of City Hall restoration as a technical consultant and as an active members of an Advisory Task. Consultants: Since we are de-linking the process and phases we propose to restrict current funds to the initial phase of City Hall restoration. With the City assuming full financial liability of the initial phases of City Hall restoration, monies for fund raising and public relations will be suspended June 30, 2003. Original Plan: City and JCHS agree this MOU is linked to City Council acceptance of the implementing plan presented by the City Manager to Council on May 5, 2003. Relocation Timeline/Added Expense: City and JCHS acknowledge JCHS may (not will) be required to relocate during the restoration process. The City will assist JCHS with in-kind support and reasonable efforts will be designed into the contract for minimum disruption. The City will agree to provide reasonable in-kind support plus a cash contribution of $19,500 to JCHS to relocate the Library. 2 Resolution No. 03-014
