UTILITY EASEMENT

JEFFERSON COUNTY ASSESSOR'S TAX PARCEL NOs. 989 - 700 -808 (Grantor);
989 - 700 -806 (Grantee)
GRANTOR: Hastings Estate Company, Inc., a Washington corporation
GRANTEE: Metis Group LLC, a Washington limited liability company
FOR AND IN CONSIDERATION OF mutual benefit, Hastings Estate Company, Inc., a
Washington corporation, ( "Grantor ") hereby conveys and warrants, in perpetuity, to Metis Group LLC, a
Washington limited liability company, ( "Grantee), and its successors, and assigns, a perpetual, non-
exclusive easement over, through, and across the following described property situated in Jefferson
County, Washington, subject to and together with the Purpose and Terms of Easement set forth in this
instrument:
Legal Description of Property Subject to Easement
Tideland District 48 and 49; Tidelands District 46 and the West 1' of 47; west 2 -1/2' of
Lot 6 and all of Lot 8; all in Block 8 of the Old Townsite to the City of Port Townsend,
Jefferson County, Washington.

Purpose and Terms of Easement.
This Utility Easement is for the purpose of granting the Grantee a utility easement for the location
of electrical lines and related equipment over, through, and across the described property in perpetuity for
the benefit of Grantee's property shown on Exhibit A (T.P.N. 989 - 700 -806).
THE EASEMENT IS SUBJECT TO THE FOLLOWING:
1. Grantee shall have the right at all times to enter the described Easement Area for the purpose of
making allowed utility improvements, inspections and maintaining utility allowed improvements,
including but not limited to, inspecting, maintaining, improving, repairing, constructing, reconstructing,
locating and relocating allowed utility lines. This is subject to paragraph 2 below, and to the Grantee
giving 5 days notice except in the case of an emergency.
2. Any costs associated with inspection, maintenance, improvement, repair, construction,
reconstruction, and improvements upon the property undertaken by the Grantee shall be borne by the
Grantee.
3. This Agreement shall be binding upon the Grantors and their successors and assigns, and binding
on (and benefit) the Grantee and its successor and assigns, and constitutes a covenant running with the
land.
4. Structures that interfere with the easement are prohibited.
5. Grantor reserves the right to relocate the utility easement so long as its function and purpose are
maintained. Any relocation of Grantee's improvements shall be done at Grantor's expense.

LEGAL DESCRIPTION:
A utility easement over, under and across the North 5 feet of the South 9 feet of Lot 8, Block 8,
of the Original Townsite of Port Townsend as recorded in Volume 1 of Plats, Page 1, records of
Jefferson County, Washington.
Together with the North 5 feet of the South 9 feet of the West 2.5 feet of Lot 6 of said Block 8.
All situate in the Northwest quarter of the Northwest quarter of Section 12, Township 30 North,
Range 1 West, Willamette Meridian, County of Jefferson, State of Washington.
The above described Easement is depicted on the accompanying map labeled Exhibit B, which is
attached herewithin and made part of this legal description.
