RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PORT TOWNSEND
APPROVING A SUBLEASE FOR SPACE WITHIN THE PALACE HOTEL,
BETWEEN COMMUNITY ENTERPRISES, INC. AND THE CITY OF PORT
TOWNSEND, FOR USE OF THE SPACE BY THE PORT TOWNSEND ARTS
COMMISSION FOR THE PROMOTION OF LOCAL ARTISTS, SAID LEASE FOR
THE NOMINAL RENTAL AMOUNT OF $1.00 PER MONTH
The City Council of the City of Port Townsend, Washington, does resolve as follows:
WHEREAS, Community Enterprises Corporation ("CEC'), rents space within the Palace
Hotel building from the owner/lessor, Port Townsend Hotel Investors I, by lease dated January
31, 1996. The lease is for a duration of 60 months. The leased space ("the Premises") is
described in the attached Sublease; and
WHEREAS, CEC originally rented the Premises for the purpose of operating a
restaurant. However, the restaurant venture was unsuccessful, and the Premises now vacant; and
WHEREAS, pending negotiating a sublease with another commercial tenant, CEC and
the Port Townsend Arts Commission desire to allow the Arts Commission to occupy the Premises
for the purpose of displaying the art works of local Port Townsend artists, displayed in an art
gallery setting. CEC and the Lessor agree that occupancy by the Arts Commission will serve
important purposes of enabling an inviting use of the space, compatible with the Hotel, and
serving an important public purpose of local arts promotion; and
WHEREAS, the above referenced Lease provides that the Lessee shall not sublease the
Premises, or any part thereof, or assign the Lease or any interest therein, without the consent of
the Lessor. The Lessor has agreed to sublet the Premises in accordance with the attached
Sublease; and
WHEREAS, CEC and the Lessor agree to let the Premises to the City for Arts
Commission use, for the purposes as defined and limited by the Lease and this Sublease, on a
month-to-month basis, commencing July 7, 1998, and in no event extending beyond December
1, 2000. The Sublease provides that the City shall pay rent to the Lessee for the Premises in the
monthly amount of $1.00; and
WHEREAS, the City Council finds that it would serve the interests of the City and the
Port Townsend community as a whole for the Arts Commission to occupy the Premises for the
purpose of promotion of the arts, and local artists in particular, in accordance with the terms and
condition of the attached Sublease,

NOW, THEREFORE, BE IT RESOLVED, by the City Council for the City of Port
Townsend that the Council hereby approves the attached Sublease for space within the Palace
Hotel building, for occupancy by the Port Townsend Arts Commission, and authorizes the Mayor
to sign the Sublease in substantially the form attached hereto.
ADOPTED by the City Council of the City of Port Townsend and signed by the Mayor
on this 6th day of July, 1998.
