Regards, John M DSD Planner AGREEMENT Bank Set Aside Account City of Port Townsend—Deer Hollow, LLC —Kitsap Bank City of Port Townsend ("City"), Deer Hollow, LLC ("applicant" or "depositor"), and Kitsap Bank ("Bank") agree as follows: I. RECITALS A. In connection with Applicant's Project under City Permit Nos. LUP09-012 and BLD09-067 ("Permits"), City requires a security guarantee before the issuance of the permit, and/or certain improvements remain to be completed before the City can give final approval under the Permit, and/or security is required for warranty. B. City regulations allow the applicant to escrow the security to provide assurance to the City that the security will be available when needed for the improvements. (tQ A C. Bank acknowledges that Bank has received sufficient consideration for its obligations set forth in this Agreement, and further, that the City is relying on the Bank's obligations set forth in this Agreement such that the Bank cannot revoke or terminate its obligation in this Agreement except as set forth in this Agreement. Officer signing for Bank has authority to execute this Agreement. F. Based on Bank's agreement to the terms of this Agreement, City agrees to accept the "set aside" as set forth in this Agreement, and would not approve project at this time but for the Bank's agreement and assurance set forth in this Agreement. G. These recitals are a material part of this Agreement. II. Agreement.Now therefore, the parties agree: 1. Set Aside. The amount is referred to as the "set aside." 2. Set Aside Not Released Without City Approval. Set Aside Released to City on City Notice to Bank. Upon receiving the City's written demand, Bank agrees to immediately issue a check in the sum set forth in paragraph 1 (or such portion demanded by the City)payable to the City, and deliver the check to the City. Bank has no right to withhold funds or interplead funds or take any action other than to issue and deliver a check to the City on the City's demand to the Bank to do so. 4. City Agreement on Use of Set Aside. City may only make written demand to the Bank to issue a check to the City pursuant to paragraph 3 if the City determines that the Applicant is not undertaking required work with respect to the improvements, as set forth in a separate Agreement between the City and Applicant. 5. Release. Applicant hereby releases the City and Bank, and their officers, agents, and employees, from any and all liability in connection with carrying out the terms of this Agreement. 6. No Partnership. It is understood and agreed that nothing contained in this Agreement shall be considered as in any way instituting a partnership between the City, Bank and Applicant. 7. Entire Agreement; Modification. This Agreement contains the entire understanding of the parties on the subject matter of this Agreement, and the Agreement may not be modified except by a writing signed by all parties. 8. Attorney Fees. In the event of a dispute, and this matter is referred to counsel (including the City Attorney), then the prevailing party is entitled to recover costs and reasonable attorney fees. RECITALS A. In connection with Applicant's Project under City Permit Nos. LUP09-012 & BLD09-067 ("Permit"), City requires security guarantees before the issuance of the permit and/or certain improvements remain to be completed before the City can give final approval under the Permit. B. Those improvements that are subject to this Agreement are set forth in this Agreement at Exhibit A. C. City regulations provide for security to the City that the improvements will be completed as provided by the approved plans. Pursuant to City regulations, the security amount is 120% of the estimated cost for the City to contract for construction of the improvements as determined by the City. D. The City has determined the proper security amount ("security amount" or"security funds"), and the amount is set forth in paragraph 1 of this Agreement. E. Applicant desires to post the security amount with the City so the City can approve the Applicant's permit at this time, subject to the terms of this Agreement. Applicant agrees that City's actions are lawful and proper. F. These recitals are a material part of this Agreement. IL AGREEMENT In consideration of their mutual promises, and for good and valuable other consideration , the receipt and sufficiency of which is acknowledged, the parties agree as follows: 1. Posting of Security Amount. Applicant agrees to post the security amount of$19,200 with the City, in the form of a set aside in form approved by the City. A copy of the set aside is attached as Exhibit B and is called the "security instrument." 2. Approval of Permit. City agrees to approve the Applicant's Permit at this time subject to the terms of this Agreement. 1 Agreement—Performance and Security Guarantee(and if applicable Maintenance) (Revised 09 03 09) 3. Improvements and Completion Date. Applicant agrees that the improvements (herein, the "improvements") set forth in Exhibit A shall be fully completed as provided in the approved plans and in accordance with the terms set forth on Exhibit A no later than '5 / 30 , 2011 (twelve months from date of Agreement if not filled in). In the City's discretion, City may consider an extension for good cause. All work shall be done in a lawful and workmanlike manner that is acceptable to the City of Port Townsend, and according to City-approved plans, permits and inspections and requirements. 4. Security Period; Expiration of Security Instrument. The security instrument provided by paragraph 1 shall remain in full force and effect until obligations secured by this Agreement have been fully performed, and until released in writing by the City. Unless there are unresolved warranty claims, the security instrument will be released by the City upon the City's written acceptance of the improvements, subject to paragraph 6 (partial release; security for maintenance). The City's release of the security instrument does not affect the Warranty, which remains in effect as provided by paragraph 4. 5. Partial Release of Security; Security for Warranty and Maintenance. City will cooperate with Applicant to release funds as work is partially completed. The security amount shall in all cases cover the cost of the remaining work to be done times 120%, plus a security amount to guarantee the improvements for a period of twelve months from acceptance of the improvements by the City. Fee for partial release is $100 minimum, plus $50 per hour if more than 2 hour of staff time is involved. This is in addition to regular building inspection fees. Once the work is completed and accepted in writing by the City, the security amount shall be 20% of the amount set forth in paragraph 1 to guarantee the improvements, in the form of the original security instrument reduced to 20%, or a new security instrument(in form acceptable to the City) in the amount of 20%of the amount set forth in paragraph 1, guaranteeing the maintenance of improvements for a period of one year. 6. GENERAL TERMS 6.1 City Determination to Perform Work. At any time the City determines, in its sole discretion, that the work or maintenance will not be timely or satisfactorily completed within the period set forth in this Agreement, then the City shall be entitled to obtain and use the monies provided pursuant to the Agreement, and to take whatever steps it determines to complete or maintain the improvements set forth in this Agreement. Prior to exercising its rights under this Agreement, the City shall give five (5) days written notice to Applicant of the City's intentions, and meet with Applicant if requested to see if mutually satisfactorily arrangements can be reached. In performing any work, the City shall be entitled to charge 20% of all costs as administrative overhead. Costs include any outside professional costs, including any outside attorney fees. 6.2 Shortfall or Excess of Security Funds. In the event the City utilizes the security funds to undertake to complete the improvements or perform maintenance and repairs, and in 2 Agreement—Performance and Security Guarantee(and if applicable Maintenance) (Revised 09 03 09) the event of a shortfall in funds needed to complete the improvements or perform maintenance and repairs, then Applicant is liable to the City for any shortfall. In the event there are any monies remaining with the City after any utilization of the security funds after completion of the project, and expiration of the security period, then the City shall return the monies to Applicant, or release any interest in the security instrument. 6.3 Payment of Contractors, Suppliers and Employees. Before release of the security,the Applicant shall have paid all sums owing to laborers, contractor, mechanics, subcontractors, materialmen and suppliers or others in connection with the work subject to the Permit. 6.4 Enforcement. In the event of Applicant's failure to timely complete the improvements, perform maintenance, or to pay any shortfall to the City pursuant to this Agreement, or otherwise fail to meet the terms of this Agreement, and in addition to any other remedies set forth in this Agreement, then the City shall be entitled to take any and all code enforcement remedies authorized by the Port Townsend Municipal Code. In addition, the City shall be entitled to revoke or not issue any building permits, occupancy or other use permits in connection with the Permit. Remedies to the City are cumulative and non- exclusive. 6.5 No Partnership: It is understood and agreed that nothing contained in this Agreement shall be considered as in any way constituting a partnership between the City and Applicant. 6.6 Compliance With All Applicable Laws. Applicant shall,.at all times in connection with performance of this Agreement, comply with any and all other applicable federal, state and local laws, rules, ordinances and regulations. 6.7 Indemnification. Applicant shall indemnify, defend and hold harmless the City, its officers, agents, employees, and volunteers, from and against any and all claims, demands, damages,judgment, losses, liability and expense (including attorneys fees), including but not limited to those for personal injury, death or property damage suffered or incurred by any person,by reason of or in the course of performing this Agreement which is or alleged to be caused by or may directly or indirectly arise out of any act or omission of Applicant, its officers, agents, employees, and volunteers. This Agreement shall also include all costs and attorneys' fees incurred by the City in defending the same. 6.8 Agreement Binding on Successors. Applicant agrees that the terms of this Agreement follow the land and are binding on heirs, successors and assigns. 6.9 Entire Agreement; Modification.
